Terms of Service

These Terms of Service ("Terms") govern your access to and use of SalesGrid ("we", "us", or "our"), including our web application, CRM features, email integrations, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms form a legally binding agreement between you and SalesGrid. If you do not agree, do not use the Service. We may update these Terms from time to time — continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the authority to bind any organization you represent.

3. Accounts and Registration

  • You must provide accurate, current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • Notify us immediately of any unauthorized access or security breach.
  • We reserve the right to suspend or terminate accounts for violations.

4. Email Provider Integrations and Third-Party Services

When you connect an email account (such as Gmail, Outlook/Office 365, or other supported providers) using OAuth 2.0 or similar authorization, you grant SalesGrid limited, scoped permissions to:

  • Send emails that you explicitly compose and approve within the Service
  • Log sent emails in associated CRM records (deals, contacts, etc.), if you enable this feature

We do not access, read, store, search, or use your inbox contents, received emails, drafts, calendars, contacts, or any other data beyond what is strictly necessary for the sending and logging features you activate. All access is governed by the secure authorization tokens provided by your email provider, which you can revoke at any time through your provider's security settings (e.g., Google Account → Security → Third-party apps, or Microsoft Account → Privacy → Apps & services).

SalesGrid is not responsible for the availability, changes, downtime, or privacy practices of third-party email services. Your use of these integrations is also subject to the terms and privacy policies of the respective providers.

5. User Content and Responsibilities

  • You retain ownership of any data, contacts, deals, notes, or emails you upload ("User Content").
  • You grant us a worldwide, non-exclusive, royalty-free license to host, process, display, and use User Content solely to provide and improve the Service.
  • You are solely responsible for the accuracy, legality, and rights to all User Content.
  • Prohibited: uploading illegal, harmful, infringing, or abusive content.

6. Prohibited Conduct

You agree not to:

  • Violate laws or third-party rights
  • Reverse-engineer, scrape, or misuse the Service or APIs
  • Introduce viruses, malware, or disruptive code
  • Spam, harass, or impersonate others
  • Abuse email-sending features (e.g., unsolicited bulk emails)

7. Intellectual Property

The Service (including design, code, logos, features) is owned by SalesGrid or its licensors. You receive a limited, non-transferable license to use the Service during your subscription, subject to these Terms.

8. Payments and Subscriptions (if applicable)

Certain features may require paid subscriptions. Fees are non-refundable except as required by law. We may change pricing with notice. Late payments may result in suspension.

9. Termination

You may delete your account at any time. We may suspend or terminate access for violations, non-payment, or at our discretion. Upon termination, your access ends, but certain provisions (e.g., liability, IP) survive.

10. Limitation of Liability

To the maximum extent permitted by law, SalesGrid is not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure operation.

12. Indemnification

You agree to indemnify and hold SalesGrid harmless from claims arising from your use of the Service, User Content, or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of laws principles. Disputes shall be resolved through binding arbitration in Ohio (or small claims court for qualifying claims).

14. Changes to Terms

We may modify these Terms. We will post updates here and may notify you via email or in-app notice for material changes.
